These Terms of Service ("Terms") govern your access to and use of StampCard's website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Services

StampCard provides a digital loyalty platform that enables businesses to:

• Create and manage digital stamp card loyalty programs
• Issue digital passes compatible with Apple Wallet and Google Wallet
• Track customer engagement and loyalty program analytics
• Communicate with customers through pass notifications

Our Services include the StampCard website (stampcard.io), the StampCard Merchant mobile application for iOS and Android, and related APIs and integrations.

3. Account Registration

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Types

We offer different account types including individual merchant accounts and business accounts. Additional terms may apply to specific account types.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm other users
• Send spam or unauthorized commercial communications
• Scrape or collect data without permission

5. Payment Terms

5.1 Subscription Plans

Some features of our Services require a paid subscription. By subscribing, you agree to pay all applicable fees as described in your selected plan.

5.2 Billing

• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failed payments may result in service suspension

5.3 Taxes

You are responsible for all applicable taxes. We will charge taxes where required by law.

6. Intellectual Property

6.1 Our Rights

StampCard and its licensors retain all rights to the Services, including all software, designs, text, graphics, and other content. Our trademarks and trade dress may not be used without permission.

6.2 Your Content

You retain ownership of content you upload to our Services (logos, images, text). By uploading content, you grant us a license to use, display, and distribute that content as necessary to provide the Services.

6.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.

7. Third-Party Services

Our Services integrate with third-party services including:

• Apple Wallet and Google Wallet for pass distribution
• Payment processors for subscription billing
• Cloud infrastructure providers

Your use of third-party services is subject to their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAMPCARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless StampCard, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our Services.

11.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

11.3 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice.

11.4 Effect of Termination

Upon termination, your right to use the Services ceases. We may delete your data in accordance with our data retention policies. Sections that by their nature should survive termination will survive.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us to attempt informal resolution.

12.2 Governing Law

These Terms are governed by the laws of the jurisdiction in which StampCard operates, without regard to conflict of law principles.

12.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class actions.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and StampCard.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
